If JAMS is unable to provide an arbitrator, the arbitrator shall be selected from the American Arbitration Association, and the arbitration shall be carried out in accordance with the provisions of California Code of Civil Procedure §§ 1280 et seq., serving as the exclusive forum for the resolution of said dispute. The arbitrator shall adhere to applicable federal law and California state law (in regard to all substantive law matters) when rendering an award. Upon the conclusion of the arbitration, the Arbitrator shall issue a written decision detailing the essential findings and conclusions forming the basis of the Arbitrator's award or decision. Any award or relief granted by the Arbitrator herein shall be considered final and binding upon the Parties hereto and may be enforced by any court possessing jurisdiction. THE PARTIES EXPRESSLY ACKNOWLEDGE AND AGREE THAT THEY ARE HEREBY WAIVING ANY RIGHTS TO A TRIAL BY JURY. The Parties additionally agree that in any legal action undertaken to enforce the provisions of this Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs, including, without limitation, the expenses associated with the arbitrator, the arbitration proceedings, and any court actions related to confirming or vacating an arbitration award, incurred in connection with the resolution of the dispute, in addition to any other remedies granted.
Dissolution
In the event that any provision of this Policy is determined to be unenforceable or invalid under applicable law, such provision shall be deemed severed from this Policy, and the remaining provisions shall remain in full force and effect.
